Affiliate Agreement - Shopify

SHOPIFY AFFILIATE AGREEMENT

This Affiliate Agreement (“Agreement”) is entered into as of DATE (the “Effective Date”), by and between:

Business Address: 625 Kenmoor Ave SE, Ste 350, Grand Rapids, MI 49546
(Hereinafter referred to as the “Company”)

AND

Affiliate Name: Name
Affiliate Email: email
Affiliate Address: address
(Hereinafter referred to as the “Affiliate”)

Collectively referred to as the “Parties.”

This Agreement sets forth the terms under which the Affiliate will promote the Company’s products sold via its Shopify store in exchange for commission payments based on referred sales.

• Affiliate participation is subject to approval by the Company through its affiliate platform (e.g., UpPromote, Refersion).
   
• Once approved, the Affiliate will receive a unique tracking link and access to marketing materials.
   

• The Affiliate will earn a 20% commission on the net sale price of each qualifying order (excluding shipping, taxes, and discounts) made through their affiliate link.
   
• Commissions are tracked through the affiliate platform integrated with the Shopify store.
   
• Commission is payable 30 days after the sale, to account for any returns or cancellations.
   
• Payouts are made via bank transfer, affiliate is to select bank of choice.
   

The Affiliate agrees to:

• Promote the Shopify store and its products honestly, clearly, and in compliance with FTC guidelines.
   
• Not use any form of spam, unsolicited messages, or misleading advertising.
   
• Not engage in paid search bidding on branded terms (e.g., “Arsai Soap.”) or direct-link ads without written permission.
   
• Not offer coupon codes not provided by the Company or misrepresent pricing or promotions.
   

The Company grants the Affiliate a limited, non-exclusive, revocable license to use banners, logos, images, and copy from the Shopify store solely for the purpose of promoting the store and its products.

Affiliate must not alter any images or branding materials without prior approval.

If a customer referred by the Affiliate returns a product or issues a chargeback, the related commission will be deducted from future payouts.

• This Agreement shall remain in effect until terminated by either Party.
   
• Either Party may terminate this Agreement at any time with written notice.
   
• Upon termination, all use of the Company’s materials must cease, and affiliate links must be removed.
   

The Affiliate is an independent contractor, not an employee, agent, or partner of the Company. This Agreement does not create any joint venture, franchise, or employment relationship.

The Affiliate agrees not to disclose confidential information related to the Company, including but not limited to: pricing structures, internal communications, or customer information.

The Company shall not be liable for any indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising out of or in connection with this Agreement.

This Agreement shall be governed by the laws of the State of Michigan, without regard to its conflict of laws rules.

The Company may modify the terms of this Agreement at any time. Affiliates will be notified of significant changes via email or the affiliate platform. Continued participation in the program constitutes acceptance of any changes.

This document constitutes the entire Agreement between the Parties. No oral or written statements not included herein shall be binding.
