AFFILIATE AGREEMENT

This Affiliate Agreement (“Agreement”) is entered into as of Date (the “Effective Date”), by and between:

(Hereinafter referred to as the “Company”)

AND

Affiliate Name: Name

(Hereinafter referred to as the “Affiliate”)

Collectively referred to as the “Parties.”

The Company operates a marketing program whereby Affiliates refer customers to the Company’s products and services in exchange for commissions. The Affiliate desires to participate in this program under the terms and conditions set forth in this Agreement.

Affiliate agrees to promote the Company’s products/services using unique affiliate tracking links provided by the Company. Enrollment is subject to Company approval.

• The Company will pay the Affiliate 20% of the net revenue generated from each referred customer who makes a qualifying purchase using the Affiliate’s tracking link.
   
• Payments will be made monthly, within 15 days after the end of each calendar month.
   
• Commissions will not be paid on refunded or fraudulent transactions.
   

Affiliate agrees to:

• Promote the Company’s products/services in a lawful and ethical manner.
   
• Not make any false or misleading claims about the Company.
   
• Not use spam, cookie stuffing, or any other deceptive tactics.
   
• Be solely responsible for their website, content, and activities.
   

The Company grants the Affiliate a limited, non-exclusive, non-transferable, revocable license to use the Company’s trademarks, logos, and promotional materials solely for the purpose of promoting Company products.

All use of Company marks must comply with Company’s branding guidelines and may be revoked at any time.

• This Agreement shall remain in effect until terminated by either Party with 7 days’ written notice.
   
• The Company may terminate this Agreement immediately for any breach of terms or if the Affiliate engages in conduct that harms the Company’s reputation.
   
• Upon termination, the Affiliate must cease all use of Company trademarks and promotional materials and remove affiliate links.
   

Affiliate is an independent contractor and not an employee, partner, or agent of the Company. Affiliate shall have no authority to bind or represent the Company.

Affiliate agrees not to disclose any non-public, confidential information obtained during the course of this relationship, including commission structures, pricing, or customer data.

The Company shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of revenue, profits, or data arising in connection with this Agreement.

This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of laws principles.

This Agreement constitutes the entire agreement between the Parties regarding the affiliate relationship and supersedes all prior or contemporaneous understandings.
